These Terms of Service (“Agreement”) are a legally binding agreement between the user (“User”) of Lumenwriter described herein and PANIMPEX LTD, a company incorporated under the laws of Cyprus, registered number HE 435789, having its registered address and address for correspondence at 25 Martiou, 27, D. Michael Tower, office 105A, ‘Egkomi, 2408, Nicosia, Cyprus (“Lumenwriter”, “Platform”). Acceptance of payments on the Platform is ensured by PANIMPEX LTD, which engages respective payment institution depending on the payment method and the type of service chosen by the User.

Please make sure that you fully understand the contents of this Agreement. If you have any doubts about any of your rights and obligations resulting from your acceptance of this Agreement, please consult us or request a legal support.

BY ORDERING A PROJECT ON THIS PLATFORM USER ACKNOWLEDGES HAVING READ, UNDERSTOOD, AGREED WITH ALL THESE TERMS AND CONDITIONS AND AGREES TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS.

In this Agreement, the following definitions are used:

“Services” mean provision of a Platform, an instrument that provides advanced technology of writing services to help Users with creating text Projects.

“User” or “you” means an individual registered on the Platform.

“Lumenwriter”, “Platform”, “we” or “us” means the website located at https://lumenwriter.ai/.

“Subscription” – the User’s opportunity to receive the Services on the Platform for a specified period of time in exchange for the recurring fees.

“Project” means a unique text or modification of the User’s text generated and provided by advanced technology to User through Platform.

“Description” means information that should be entered by the User to get the Project:

TERMS OF USE

1. To use the Services, you must log in to account by entering your email address and password, and purchase one of the tariffs for using the Platform in accordance with the clause 2.6 of the Agreement. You are responsible for keeping your account information accurate and up-to-date. You agree to keep your password confidential and will be responsible for all use of your account and password. You may not use the Service on behalf of anyone else or allow anyone else to use your account.
2. To use the Services on free of charge basis in accordance with the clause 2.7 of the Agreement, User may not register on the Platform.
3. The Platform provides the User with an access to the following Services:
   – formation of texts created with the help of advanced technologies, including the use of artificial intelligence (neural network);
   – modification of the User’s text.
4. All the Services provided on the Platform, as well as any subsequent modifications thereof and additional Services appearing in the future, are subject to the Agreement.
5. User must be and hereby affirms that he/she is an adult of the legal age of majority in his/her country and state of residence. If User is not an adult of the legal age, he/she is not permitted to use the Platform.
6. User shall be deemed to have joined the Agreement after registration on the Platform or from the moment of the Platform’s use if he/she uses the free of charge functionality of the Platform.
7. By registering on the Platform, User represents and warrants that he/she meets all of the foregoing eligibility requirements.

INTELLECTUAL PROPERTY

1. An exclusive right to all intellectual property posted on the Platform belongs to Lumenwriter.
2. Users of the Platform have a limited perpetual license to access and use the Projects. User has a right to use the Projects for both non-commercial and commercial purposes: Projects may be copied, published, reproduced, transmitted or distributed by any means, as well as placed on the “Internet”. We reserve all rights not expressly granted to you in and to the Platform.
3. User undertakes not to upload, publish, store, provide access to, or otherwise, distribute the information and/or materials provided by the Platform which violate rights of any third party in any other sources (including but not limited to Internet websites, social networks, printed publications, etc.). Lumenwriter does not take any responsibility for any violations of rights of third parties, caused by publication or any other usage by a User of Project or Platform Materials.
4. Use of the Platform content is possible only within its framework functionality and proposed Services. No elements of the Platform (including but not limited to source code, databases, software, website designs, etc.) may be used without prior consent of Lumenwriter or copyright holder.

WARRANTY DISCLAIMER 

Except where prohibited by law, Services and the Platform are provided “as-is” and “as available” and we expressly disclaim any warranties and conditions of any kind, whether express or implied, including the warranties or conditions of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy or non-infringement. We make no warranty that Services or the Platform (a) will meet your requirements; (b) will be available on an uninterrupted, timely, secure, or error-free basis; or (c) will be accurate, reliable, free of viruses or other harmful code, complete, legal, or safe. We further make no warranties or representations regarding the accuracy or completeness of the content as well as the quality of any product, services, information, and other materials obtained by using the Platform’s Services.

Any information and/or materials (including downloadable, instructions, requirements and guidance, etc.), access to which User has by using the Platform’s Services, User can use at their own risk and of their own responsibility for the possible consequences of the use of such information and/or materials.

PROHIBITIONS 

Lumenwriter does not allow to use Services for the following: 

1. Illegal activity
2. Child Sexual Abuse Material or any content that exploits or harms children
3. Generation of hateful, harassing, or violent content
4. Content that expresses, incites, or promotes hate based on identity
5. Content that intends to harass, threaten, or bully an individual
6. Content that promotes or glorifies violence or celebrates the suffering or humiliation of others
7. Generation of malware
8. Content that attempts to generate code that is designed to disrupt, damage, or gain unauthorized access to a computer system.
9. Activity that has high risk of physical harm, including:
   – Weapons development
   – Military and warfare
   – Management or operation of critical infrastructure in energy, transportation, and water
   – Content that promotes, encourages, or depicts acts of self-harm, such as suicide, cutting, and eating disorders
10. Activity that has high risk of economic harm
11. Fraudulent or deceptive activity, including:
    – Scams
    – Coordinated inauthentic behavior
    – Plagiarism
    – Academic dishonesty
    – Astroturfing, such as fake grassroots support or fake review generation
    – Disinformation
    – Spam
    – Pseudo-pharmaceuticals
12. Adult content, adult industries, and dating apps, including:
    – Content meant to arouse sexual excitement, such as the description of sexual activity, or that promotes sexual services (excluding sex education and wellness)
    – Erotic chat
    – Pornography
13. Political campaigning or lobbying, by:
    – Generating high volumes of campaign materials
    – Generating campaign materials personalized to or targeted at specific demographics
    – Building products for political campaigning or lobbying purposes
14. Engaging in the unauthorized practice of law, or offering tailored legal/financial/medical advice without a qualified person reviewing the information
15. High risk government decision-making, including:
    – Law enforcement and criminal justice
    – Migration and asylum

TERM AND TERMINATION

These Terms shall remain in full force and effect while User uses the Services. 

Without limiting any other provision of these terms, Lumenwriter reserves the right to, in its sole discretion and without notice or liability, deny access to and use of the services (including blocking certain ip addresses), to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these terms of service or of any applicable law or regulation. 

If Lumenwriter terminates or suspends your account for any reason, User is prohibited from registering and creating a new account. 

MISCELLANEOUS

1. Languages. This Agreement is in the English language, which prevails over any translations of the Agreement to other languages, made by us and provided to you for your convenience. User Agreement is designed in the English language and its translations into other languages may contain inaccuracies for which we shall not bear any responsibility; we suggest using the English version and resorting to versions in other languages only for references and at your own risk. You also agree to have all communications with us in English.
2. No Waiver. No failure or delay by a party to exercise any right or remedy provided under this Agreement or by law shall constitute a waiver of that (or any other) right or remedy, nor preclude or restrict its further exercise. No single or partial exercise of such right or remedy shall preclude or restrict the further exercise of that (or any other) right or remedy; and will not be construed as a waiver of any subsequent breach or default under the same or any other provision of this Agreement.
3. Other Jurisdictions. We make no representations that Services or the Platform are appropriate or available for use in all locations. Those who access or use Services or the Platform from jurisdictions prohibiting such use, do so at their own volition and are responsible for compliance with local law.

FINAL PROVISIONS

1. Lumenwriter has the right at any time without notification to User to change the terms of this Agreement. The new wording of the Agreement shall be published on the Platform.
2. User is responsible for any risk resulted from the new wording of the agreement; when User continues to use the service after changes in the conditions of this Agreement is deemed with new wording. The new revised agreement shall enter into force from the date it was published on the Platform, as specified above.
3. In the case of disagreement with any changes User is required to discontinue the use of the Platform.
4. In the event of disputes arising in connection with the execution of this Agreement, Lumenwriter and User agree to make all efforts for the settlement of such disputes through negotiations. If they cannot resolve their differences through negotiation, they are to be settled in accordance with the legislation of Republic of Malta.
